Terms of Service

1. Acceptance of Terms

By accessing and using ABA Converter ("Service", "we", "our", or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

2. Description of Service

ABA Converter provides a web-based service for converting CSV files to ABA (Australian Bankers Association) format files for bulk payment processing through Australian banking institutions. We offer both pay-as-you-go and subscription-based access to this service.

3. Account Registration

3.1 Pay-As-You-Go Users

Account registration is not required for pay-as-you-go conversions. You may use the service by providing an email address for transaction receipts.

3.2 Subscription Users

To subscribe to our monthly plan, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Pricing and Payment

4.1 Pay-As-You-Go

• $3.00 AUD per conversion (up to 30 transactions)
• Additional batches charged at $3.00 per 30 transactions
• Payment required before file download
• No refunds after successful file generation and download

4.2 Monthly Subscription

• $49.00 AUD per month
• 7-day free trial for new subscribers
• Unlimited conversions during active subscription
• 30-day file storage and conversion history
• Automatic monthly renewal unless cancelled
• Cancellation takes effect at end of current billing period

4.3 Payment Processing

All payments are processed securely through Stripe. We accept major credit cards, debit cards, Apple Pay, and Google Pay. By providing payment information, you authorize us to charge your payment method for applicable fees.

5. Free Trial

New subscription users receive a 7-day free trial with full access to all subscription features. You will not be charged during the trial period. To avoid charges, cancel before the trial ends. If not cancelled, your payment method will be automatically charged the monthly subscription fee.

6. Refund Policy

• Pay-as-you-go: No refunds after successful conversion and download
• Failed conversions: No charge applied if conversion fails validation
• Subscriptions: Pro-rated refunds considered on a case-by-case basis within 7 days of charge
• Technical issues: Refunds provided if service failure prevents file generation

7. Use of Service

7.1 Permitted Use

You may use our Service for:

• Converting legitimate CSV payment files to ABA format
• Processing bulk payments through Australian banks
• Business payroll and supplier payment operations

7.2 Prohibited Use

You may not:

• Use the Service for fraudulent or illegal activities
• Attempt to reverse engineer or exploit the Service
• Share account credentials with unauthorized users
• Circumvent usage limits or payment requirements
• Upload malicious files or attempt to compromise security
• Resell or redistribute the Service without authorization
• Use automated tools to abuse the Service

8. Data and File Management

8.1 File Retention

• Pay-as-you-go: Files deleted immediately after download
• Subscription: Files stored encrypted for 30 days
• After subscription ends: Files retained for 30 days, then permanently deleted

8.2 Your Responsibilities

You are responsible for:

• Accuracy of data in your CSV files
• Verifying generated ABA files before bank submission
• Maintaining backups of your original data
• Compliance with banking regulations and payment laws
• Downloading and storing your converted files

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We reserve the right to:

• Perform scheduled maintenance with advance notice
• Modify or discontinue features with 30 days notice
• Temporarily suspend service for security or technical reasons

10. Intellectual Property

All content, features, and functionality of the Service are owned by ABA Converter and protected by Australian and international copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our software or content
• Use our trademarks or branding without permission
• Create derivative works based on our Service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We are not liable for payment errors, bank rejections, or financial losses
• We are not responsible for data loss or file corruption
• Our total liability is limited to the amount you paid in the past 12 months
• We are not liable for indirect, incidental, or consequential damages

12. Indemnification

You agree to indemnify and hold harmless ABA Converter, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Service
• Violation of these Terms
• Infringement of third-party rights
• Fraudulent or illegal payment activities

13. Termination

We may terminate or suspend your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent or abusive behavior
• Non-payment of fees
• Legal or regulatory requirements

You may terminate your account at any time by cancelling your subscription or ceasing use of the Service.

14. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. We comply with the Australian Privacy Act 1988 and Australian Privacy Principles (APPs). See our Privacy Policy for details on data handling.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law provisions.

15.2 Dispute Process

1. Contact us at support@abaconverter.com to resolve disputes informally
2. If unresolved after 30 days, disputes will be subject to mediation
3. Legal action must be brought in courts of New South Wales, Australia

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via:

• Email notification to registered users
• Prominent notice on our website
• In-app notification

Continued use of the Service after changes constitutes acceptance of modified Terms.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ABA Converter regarding use of the Service.

20. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.
